Membership Agreement

1. Parties

This Membership Agreement (the "Agreement") is entered into electronically between the operator of the mertertextile.com website;

hereinafter referred to as the "Site Operator".

and the natural or legal person who becomes a member of the mertertextile.com website.

The person who becomes a member shall hereinafter be referred to as the "Member".

2. Subject of the Agreement

The purpose of this Agreement is to define the rights and obligations of the Member during and after the membership process on the mertertextile.com website, the conditions applicable to the membership services provided by the Site Operator, and the mutual responsibilities of the parties.

mertertextile.com operates primarily to promote and offer for sale wholesale women's clothing products to customers located in various countries, particularly Türkiye.

Completing the membership process does not mean that the Member is required to purchase products.

3. Membership Conditions

The information provided by the Member during the membership process must be accurate, current, and complete.

The Member is responsible for the accuracy of the information provided when creating a membership account. If the information changes, the Member is obliged to update the account information.

The membership account is personal to the Member. The Member is responsible for the security of their username, email address, password, and other account information.

The Member may be held responsible for consequences arising from the use of the Member's account by third parties if the necessary security measures have not been taken.

4. Use of the Membership Account

The Member agrees to use the account created on mertertextile.com in accordance with applicable legislation, this Agreement, and the usage rules established by the Site Operator.

The Member agrees and undertakes:

Not to provide false information,
Not to use information belonging to other persons without permission,
Not to carry out activities that may damage the technical infrastructure of the Site,
Not to engage in activities that interfere with the normal operation of the Site,
Not to submit unlawful content, requests, or transactions,
Not to attempt to access the accounts or personal information of other Members.

5. Wholesale Sales

The products available on mertertextile.com are offered for sale as wholesale women's clothing.

Sales conditions, minimum order quantities, product quantities, prices, stock availability, and other commercial terms may vary by product.

The Site Operator reserves the right to update the sales conditions of the products in accordance with applicable legislation.

If technical or system-related errors occur in the price, stock, color, size, quantity, or similar information displayed on product pages, the Site Operator may make the necessary corrections.

6. International Sales

mertertextile.com may also sell products to customers located outside Türkiye.

For orders placed from abroad, the delivery country, shipping method, transport conditions, customs procedures, taxes, duties, import costs, and similar obligations may vary according to the legislation of the country where the order is placed.

Members located abroad are responsible for monitoring and fulfilling any import, customs, tax, and other legal obligations applicable in their country.

Where the buyer is required to complete the customs procedures or official formalities necessary to receive the products, the Site Operator's responsibility shall be assessed within the framework of applicable legislation and transport conditions.

7. Product Prices and Currencies

Product prices on mertertextile.com may be displayed in different currencies.

The currency used on the Site may vary depending on the language or country selected by the Member or the display preferences determined by the system.

Product prices and the amounts applicable at payment shall be determined based on the information displayed to the Member when the order is placed.

Price displays in different currencies may change over time due to fluctuations in exchange rates.

8. Orders and Purchases

Creating a membership alone does not constitute a sales agreement.

Acceptance of an order placed by the Member and completion of the sale are subject to fulfillment of the payment and other sales conditions relating to the order.

Before placing an order, the Member must check the product price, quantity, delivery address, and other relevant information.

By placing an order, the Member shall be deemed to have accepted the sales conditions presented during the ordering process.

Legal regulations concerning distance sales in consumer transactions in Türkiye are reserved.

9. Payment

The Member may use the payment methods offered on mertertextile.com.

For payments made by Credit Card, Bank Transfer, or EFT, order processing is subject to the payment being credited to the Site Operator's account.

For payments made from abroad, bank transfer, foreign currency transfer, and similar payment methods may be used.

Bank, financial institution, transfer, or exchange rate difference charges that may arise during payment shall be assessed according to the conditions specified when the order is placed.

The Site Operator reserves the right to change payment methods, add new payment methods, or remove certain payment methods.

10. Delivery and Shipping

Delivery and shipping conditions for orders may vary depending on the delivery country, address, product quantity, package volume, and preferred transport method.

Fees for shipping, freight, warehouse, courier, or other transport services shall be charged in accordance with the conditions specified when the order is placed.

For international shipments, customs procedures and additional costs that vary by country may arise depending on the transport process.

11. Returns and Exchanges

Returns and exchanges shall be handled according to the nature of the order, the delivery country, and applicable legislation.

In consumer transactions carried out in Türkiye, the consumer's statutory rights are reserved.

For wholesale purchases made for commercial purposes, return and exchange conditions shall be assessed within the scope of the sales terms applied between the parties and applicable legislation.

For international orders, the party responsible for shipping, transport, customs, and similar costs arising from a return or exchange shall be determined according to the applicable sales conditions.

12. Protection of Membership Information

Personal data provided by the Member during membership shall be processed in accordance with applicable legislation on the protection of personal data.

The purposes for which personal data are processed, retention periods, parties to whom the data may be transferred, and the rights of the Member are explained in the KVKK Privacy Notice and relevant privacy policies.

For Members located abroad, applicable legislation concerning the processing of personal data shall also be taken into consideration.

13. Electronic Communications

The Member agrees that notifications necessary for the membership account, order, payment, delivery, and provision of the service may be sent to the communication channels provided during membership.

Commercial electronic communications shall be sent subject to the consents obtained where required and applicable legislation.

14. Intellectual and Industrial Property Rights

Unless otherwise stated, intellectual and industrial property rights in the product images, photographs, texts, graphics, logo, design, software, domain name, trademark, and other content available on mertertextile.com belong to the Site Operator or the respective rights holders.

Unauthorized copying, reproduction, commercial use, or publication of Site content on other websites is prohibited.

15. Suspension or Termination of Membership

If the Member acts in breach of this Agreement, applicable legislation, or the Site usage rules, the Site Operator may temporarily suspend the relevant account or terminate the membership.

In the event of using false information, using another person's account information, damaging the technical infrastructure of the Site, carrying out fraudulent transactions, or engaging in unlawful activities, the Site Operator reserves the right to take the necessary administrative and legal action.

The Member may request termination of their membership at any time.

Termination of membership does not automatically eliminate the rights and obligations arising from previously completed orders or from applicable legislation for either party.

16. Updating Site Content

The Site Operator has the right to update or change product information, prices, stock availability, campaigns, membership conditions, and other content on the Site.

Subject to cases required by legislation, such changes shall take effect on the date they are published on the Site.

17. Technical Interruptions

To the extent permitted by applicable legislation, the Site Operator shall not be held liable for the temporary unavailability of the Site due to internet infrastructure, server, software, maintenance, updates, technical failures, or causes arising from third-party service providers.

The Site Operator carries out the necessary technical work to ensure that the service continues as regularly as possible.

18. Amendments to the Agreement

The Site Operator may amend this Membership Agreement in accordance with applicable legislation and the operating conditions of the Site.

The updated Agreement shall take effect on the date it is published on the Site.

19. Dispute Resolution

In disputes that may arise from the implementation of this Agreement, the legislation of the Republic of Türkiye shall be taken into consideration to the extent applicable.

In consumer transactions in Türkiye, the consumer's statutory rights to apply to competent authorities and the provisions concerning competent authorities are reserved.

For commercial transactions, the applicable provisions of legislation concerning competent courts and authorities shall apply.

For international transactions, mandatory provisions of local legislation are reserved.

20. Effective Date

When the Member completes the membership process by filling out the membership form on the mertertextile.com website, the Member declares that they have read this Agreement, reviewed its provisions, and accepted the conditions applicable to the membership.

This Agreement shall enter into force on the date it is accepted electronically by the Member.
