Distance Sales Agreement

DISTANCE SALES AGREEMENT

1. Parties

This Distance Sales Agreement (the "Agreement") has been concluded electronically between the Seller and the Buyer whose details are set out below.

2. Subject

The subject of this Agreement is to determine the rights and obligations of the parties regarding the sale and delivery of the products ordered electronically by the Buyer via the mertertextile.com website.


3. Products

The following details of the purchased products:

  • Type

  • Model

  • Color

  • Size

  • Quantity

  • Unit price

  • Total sales price

are as stated on the order screen and in the electronic invoice.


4. Payment

For orders placed via mertertextile.com, the payment methods are Credit Card and Bank Transfer / EFT.

Orders are processed once the payment has reached the Seller's accounts.

The product preparation and shipment process is not initiated until payment has been made.


5. Delivery

Orders are prepared after the payment has been confirmed.

Deliveries within Türkiye are made through contracted cargo companies.

International shipments are carried out through international transport companies.

Public holidays, force majeure and logistics-related delays may affect the delivery time.


6. Shipment Inspection

The Buyer is obliged to inspect the package received in the presence of the cargo courier.

Packages found to be damaged should not be accepted, and the cargo courier should be asked to draw up a damage report.

Products that are accepted are deemed to have been delivered intact.


7. Right of Withdrawal

Under Law No. 6502 on the Protection of Consumers (Tüketicinin Korunması Hakkında Kanun), Buyers who qualify as consumers may exercise their right of withdrawal within 14 days from the date of receipt of the product, provided that the legal conditions are met.

In order to exercise the right of withdrawal, the product must be returned complete, unused, in resalable condition and together with its original packaging.

The right of withdrawal cannot be exercised for products excluded from its scope by the Law and the relevant legislation.


8. Return Conditions

After the return request is approved, the product must be sent to the address to be notified by the Seller.

The product must:

  • be unused,

  • have its labels not removed,

  • be in its original packaging,

  • be in a condition suitable for resale

(all of the above are required).

Products that do not meet the return conditions may not be accepted.


9. Wholesale Sales

mertertextile.com mainly engages in wholesale activities.

In sales made to businesses for commercial purposes, the provisions of the Turkish Commercial Code (Türk Ticaret Kanunu) shall apply unless otherwise agreed in writing between the parties.

In commercial sales, return and exchange conditions may be separately determined between the parties before the order.


10. Force Majeure

The parties cannot be held liable for failure to fulfill their obligations due to force majeure events such as natural disasters, war, acts of terrorism, epidemics, strikes, transportation obstacles, decisions of official authorities and similar events.


11. Protection of Personal Data

Personal data shared by the Buyer will be processed and protected in accordance with the provisions of the KVKK in force.

Detailed information is provided in the KVKK Information Notice and the Privacy Policy on the website.


12. Evidence Agreement

The parties accept that order records, electronic correspondence, bank records, server records and system logs constitute conclusive evidence within the scope of the Code of Civil Procedure (HMK).


13. Competent Court

Turkish law in force shall apply to disputes.

In consumer transactions, the competent Consumer Arbitration Committees and Consumer Courts shall have jurisdiction and authority.

For disputes arising from commercial sales, the Istanbul (Central) Courts and Enforcement Offices shall have jurisdiction.


14. Entry into Force

By confirming the order via the website, the Buyer declares that they have read and understood all provisions of this Distance Sales Agreement and accepted them electronically.

This Agreement enters into force on the date it is approved electronically.
